# What is Nominee Shareholder?

A **nominee shareholder** is someone who holds shares on **behalf of another person**.

A shareholder is a nominee if the shareholder:
1. is accustomed or under an obligation (whether formal or informal) to vote, in accordance with the directions, instructions or wishes of your nominator; and
2. receives dividends, on behalf of your nominator.
